Agreement

By accessing or using the TapIn website, merchant portal, applications, APIs, and related services (collectively, the "Services"), you agree to these Terms of Service. If you do not agree, do not use the Services.

Use of Services

You agree to use TapIn only for lawful purposes and in accordance with all applicable laws and regulations. You may not misuse the Services, attempt unauthorized access to our systems, interfere with operation of the Services, scrape or extract data without permission, introduce malicious code, or use the Services in a way that violates applicable law or the rights of others.

Accounts

You are responsible for maintaining the confidentiality of account credentials and for activity that occurs under your account. You must promptly notify us of any unauthorized account activity.

Some services may require registration for a TapIn merchant account. Businesses are responsible for maintaining accurate account information.

You must be at least 18 years old and capable of forming a binding contract to use the Services.

Payments and Merchant Transactions

Certain Services may allow merchants to accept payments through third-party payment processors. TapIn does not directly process payment card information and is not responsible for performance, availability, or policies of third-party payment providers.

User Content

Users and merchants are responsible for information, content, and materials submitted through the Services. By submitting content, you represent that you have the rights necessary to provide it and that it does not violate applicable law or the rights of others.

Intellectual Property

TapIn and related names, logos, software, and content are owned by TapIn or its licensors and protected by applicable intellectual property laws. Except as expressly permitted, no rights are granted to use our intellectual property.

Nothing in these Terms grants you any rights in TapIn intellectual property except as expressly provided herein.

If you believe that content on TapIn infringes your intellectual property rights, please contact support@tapin.dev with sufficient information to investigate the claim.

Disclaimer

The services are provided as is and as available, without warranties of any kind, to the extent permitted by law. We disclaim warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, TapIn is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill resulting from use of the Services.

To the maximum extent permitted by law, TapIn total liability for any claim arising from or relating to the Services will not exceed the greater of 100 US dollars or the amount paid to TapIn by you during the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless TapIn Technologies LLC and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to your use of the Services, your content, or your violation of these terms or applicable law.

Governing Law and Venue

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute not subject to arbitration must be brought exclusively in the courts located in California.

Arbitration and Class Action Waiver

Any dispute arising from these terms or the services will be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in California unless otherwise agreed. Either party may bring an individual action in small claims court for qualifying claims.

Arbitration is governed by the Federal Arbitration Act.

To the extent permitted by law, you and TapIn waive any right to participate in a class action, class arbitration, or representative proceeding.

Termination

You may stop using the Services at any time. We reserve the right to suspend or terminate access to the Services, with or without notice, for conduct that we believe violates these terms or is harmful to other users, third parties, or our business interests.

Upon termination, your right to access the Services ceases immediately.

Service Changes

We may modify, suspend, or discontinue parts of the TapIn Services at any time without liability.

Force Majeure

TapIn will not be liable for delay or failure in performance resulting from events beyond our reasonable control, including natural disasters, internet outages, government actions, labor disputes, or failures of third-party service providers.

Compliance With Laws

You may not use the Services if you are located in a jurisdiction subject to US sanctions or if you are listed on any US government restricted parties list.

Entire Agreement

These Terms constitute the entire agreement between you and TapIn regarding the Services and supersede prior agreements or understandings relating to the Services.

Changes to Terms

We may update these Terms periodically. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
